1. Governing law

These Terms of Use are governed by the laws of the Republic of Korea, without regard to conflict-of-law principles that would apply another jurisdiction.

Any dispute arising from or relating to Cenipid FlowMetric services shall be submitted to the competent courts located in Seoul, unless mandatory consumer protection rules in your location require a different venue. Where such rules apply, they prevail only to the extent required.

If a provision is held unenforceable, the remaining provisions continue in effect. Headings are for convenience and do not alter interpretation.

2. Account termination

You may stop using the services at any time. Organizational administrators may request deactivation of workspace accounts associated with their tenant.

We may suspend or terminate access if we reasonably believe there is a material breach of these terms, a security risk, or failure to meet invoiced subscription obligations after notice where contractually required. We provide a reasonable window to export permitted data unless immediate suspension is necessary to protect platform integrity.

Upon termination, certain operational records may persist according to the Data Protection policy and archival modules you purchased. Destruction timelines follow documented retention schedules.

3. Intellectual property

Cenipid FlowMetric retains all rights to software, documentation, trademarks, and branding. Except for the limited license below, no rights are granted.

Subject to an active subscription and compliance, we grant you a non-exclusive, non-transferable license to use the services for internal business operations during the subscription term. You may not reverse engineer except where local law expressly permits.

Feedback you provide may be used to improve services without obligation to compensate you, unless a separate written agreement states otherwise.

4. Service description

Cenipid FlowMetric provides workforce productivity analytics software, including optional modules for capacity planning, workflow insights, and executive reporting. Features depend on the plan and connectors you enable.

The services rely on accurate configuration and timely integration with your approved systems. We do not guarantee uninterrupted operation but commit to commercially reasonable efforts described in your order form.

Professional services, if purchased separately, are scoped in a statement of work. Deliverables exclude custom development unless explicitly listed.

5. Limitation of liability

To the fullest extent permitted by Korean law, Cenipid FlowMetric is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or reputational harm, arising from use of the services.

Our aggregate liability for claims relating to the services in any twelve-month period is limited to the fees you paid for the services during that period, except where liability cannot be limited by applicable law.

These limitations apply even if a remedy fails of its essential purpose. They do not limit liability for death or personal injury caused by negligence where such limitation is prohibited.

6. Acceptance of terms

By accessing the site, creating an account, or using a trial, you agree to these Terms of Use and the policies linked in the footer. If you act on behalf of an organization, you represent authority to bind that organization.

If you do not agree, discontinue use immediately. Continued use after we post changes constitutes acceptance of the revised terms for new activity; material changes to paid services follow notice periods in your contract where applicable.

Children under the age required for digital consent in your region may not create accounts. Administrators are responsible for age-appropriate workplace policies.

7. User obligations

You must provide accurate registration information and keep credentials secure. Notify us promptly of suspected compromise.

You may not misuse the services to harass individuals, violate workplace agreements, or process data you lack rights to process. Connector scopes must respect third-party terms of the underlying tools you integrate.

You are responsible for configuring retention, access roles, and exports in line with your internal quality standards and stakeholder sign-off processes.
